AI Freelancer is a trade name of Oliphant Digital LLC

1. Acceptance of Terms

By accessing or using the website https://www.aifreelancer.co (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

2. Who We Are

The Service is owned and operated by Oliphant Digital LLC, doing business as AI Freelancer ("we", "us", or "our").

3. Use of Service

• You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Service.
• You agree to use the Service only for lawful purposes and in accordance with these Terms.
• You are responsible for ensuring that your access to and use of the Service is legal in your jurisdiction.

4. Services & Payments

• We offer AI automation consulting, software, and related business services to individuals and companies.
• All service details, deliverables, and pricing will be set forth in separate proposals, statements of work, or invoices.
• Unless otherwise agreed in writing, payment for services is due according to the terms stated in your invoice or agreement.
• Late payments may be subject to interest at a rate of 1.5% per month on the outstanding balance, or the maximum rate permitted by law. We also reserve the right to suspend all services until payment is made in full.
• Refunds are issued at our sole discretion, typically only for unrendered services.

5. Intellectual Property

• The Service and all content, features, and functionality (including but not limited to text, images, code, logos, and designs) are the exclusive property of Oliphant Digital LLC or its licensors, and are protected by U.S. and international copyright, trademark, and other laws.
• You may not copy, modify, distribute, sell, or lease any part of our Service or included content unless you have our written permission.

5a. Intellectual Property of Client Deliverables

• Pre-Existing IP: We retain full ownership of all pre-existing tools, software, code, know-how, and methodologies used to provide the services ("Our IP"). You are granted a license to use Our IP only as it is incorporated into the final deliverables.
• Client Ownership: Upon our receipt of full and final payment for the services rendered under a specific agreement, you will be granted full ownership rights to the final, unique work product created specifically for you ("the Deliverables").
• Our Portfolio Rights: Unless otherwise agreed in writing, we retain the right to use a general description of the project and the results for our portfolio and marketing purposes, without disclosing any of your confidential information.

6. User Content and Submissions

• If you submit or upload content (such as project briefs, data, or feedback), you grant us a non-exclusive right to use that content for the purposes of providing the Service.
• You represent that you have the necessary rights to provide such content and that it does not violate any law or third-party rights.
• We will treat all non-public information and data you provide to us as confidential and will use it only for the purpose of providing the Service. We will not disclose this confidential information to any third party except as required by law or as necessary to our subcontractors who are bound by similar confidentiality obligations.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Service or the information, content, or materials included on the Service.

8. Limitation of Liability

To the fullest extent permitted by law, Oliphant Digital LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use or inability to use the Service. In no event shall the aggregate liability of Oliphant Digital LLC for all claims related to the Service exceed the total amount of fees paid by you to us for the specific service in question in the preceding six (6) months.

9. Indemnification

You agree to indemnify and hold harmless Oliphant Digital LLC (including AI Freelancer), its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, or expenses arising from your use of the Service or violation of these Terms.

10. Links to Other Sites

Our Service may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party sites or services.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, including for violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Lake County, Ohio to resolve any legal matter arising from these Terms.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page with the updated effective date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
